How to find out who owns a company in Massachusetts
Massachusetts puts managers on the certificate itself, and adds a field almost no other state has: the people authorised to sign on the company’s behalf.
Short answer: Search the entity on the Secretary of the Commonwealth’s Corporations Division site. The certificate of organization names managers, and separately names the persons authorised to execute documents — including anyone who can sign for real property.
The authorised-signatory field is the one to read
Most states stop at managers. Massachusetts asks a second question: who can actually sign documents for this company, and who can sign anything affecting real estate. Those names are often more revealing than the manager list, because signing authority tends to sit with whoever genuinely controls the business.
How to search
- Open the Corporations Division business entity search.
- Search by entity name, or by individual name to find every company a person is attached to.
- Open the record and read the managers and authorised signatories sections.
- Check the most recent annual report — every Massachusetts entity files one.
Individual search is the underused feature
Massachusetts lets you search by a person’s name across all entities. If you know one company someone runs, you can usually find the rest, which is genuinely useful when you’re trying to work out whether you’re talking to a first-time owner or someone on their fourth venture.
