Terms of service
What you’re agreeing to when you subscribe, what you can do with the data, and what we’re responsible for.

These terms govern your use of Formations Feed. By subscribing or using the service you agree to them. If you’re agreeing on behalf of a company, you’re confirming you have authority to bind it.
1. The service
Formations Feed compiles business formation records published by United States state business registries and delivers them to you as a daily file by email or through our API, depending on your plan. Coverage is by state, and the states included are those on your subscription.
2. Subscriptions and billing
- Plans are priced per state, per month, and billed monthly in advance.
- Per-state pricing stops at the all-states price for your plan. Adding states never takes you above that.
- Trials run for two days and require no card. If you don’t subscribe, the trial simply ends.
- There is no minimum term. Cancel at any time and the subscription runs to the end of the paid period.
- We may change pricing, but not mid-period. Existing subscribers get at least 30 days’ notice before a change takes effect.
3. What you may do with the data
Your subscription grants you a non-exclusive, non-transferable licence to use the records internally: in your CRM, for your own sales and marketing, for research, and for building your own products where the records are an input rather than the product.
What you may not do
- Resell, redistribute or republish the records as a dataset, or make them available as a substitute for a subscription.
- Share your credentials or your feed with anyone outside your organisation.
- Scrape, mirror or bulk-extract the service beyond your plan’s limits.
Redistribution rights are available separately. Ask us.
4. Your obligations when contacting businesses
The records include contact details. How you use them is your responsibility, and there are real rules that apply — including telemarketing and do-not-call regulations, fax and text messaging restrictions, commercial email requirements, and state-level equivalents. You agree to comply with all of them, to honour opt-out requests promptly, and not to use the data for any unlawful purpose.
We do not screen your outreach and we are not your compliance department. If you’re unsure what applies to your use case, take advice before you start.
5. Accuracy, and what we don’t promise
The records originate from state agencies. We parse, normalise and enrich them, and we work hard at it, but we do not warrant that every record is complete, current or accurate. Registries contain errors, publish on their own schedules, and change their formats without notice.
Appended contact details are matched from other sources and are not supplied by the states. We publish our accuracy expectations openly rather than implying perfection, and we leave fields blank rather than guessing at them.
The service is provided “as is”. To the fullest extent permitted by law we disclaim implied warranties of merchantability and fitness for a particular purpose.
6. Availability
We aim to deliver by 8am the next business day. Registries go down, publish late, or change formats, and when that happens a file may be delayed or a state may be short. We’ll tell you when it happens. Sustained failure to deliver a state you’re paying for is grounds for a credit — email us and we’ll sort it.
7. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect, incidental, special or consequential damages, or for lost profits or lost business, even if we’ve been advised they were possible.
8. Suspension and termination
You can cancel at any time from your account. We may suspend or terminate access if you breach these terms, particularly the redistribution and lawful-use provisions, or if payment fails and isn’t resolved. Data you’ve already received is yours to keep, subject to the licence terms above.
9. Changes to these terms
We may update these terms. For material changes we’ll give account holders at least 30 days’ notice by email, and continuing to use the service after that means you accept them.
10. Not affiliated with any state agency
Formations Feed is an independent company. We are not affiliated with, endorsed by, or acting on behalf of any Secretary of State or state filing office.
