How to find out who owns a company in California
The formation document won’t tell you. The filing that lands ninety days later usually will.
Short answer: California’s articles of organization name only the agent for service of process and the organizer. Managers and officers appear on the Statement of Information, due within 90 days of formation and searchable free through the Secretary of State’s bizfile portal.
Why the first filing disappoints
People search a brand-new California LLC, find a law firm or filing service listed, and conclude the owner is hidden. They aren’t — they just haven’t filed yet. California splits entity information across two documents, and the useful one comes second.
The Statement of Information is what you want
Every California LLC must file a Statement of Information within 90 days of registering, then every two years after. It names the manager or managing members, the officers for a corporation, and the principal business address rather than the agent’s.
- Open the Secretary of State’s bizfile search.
- Search the entity name and open the record.
- Look at the filing history for the most recent Statement of Information.
- Open it — the images are free to view.
When there isn’t one yet
If the company formed in the last three months, the statement may simply not exist. Your options are the agent’s own record if it’s a genuine person rather than a service, a fictitious business name filing at county level, or a professional licence if the trade requires one.
What you shouldn’t do is treat the organizer as the owner. Organizers are frequently paid to sign and have no stake at all — see registered agent, incorporator, officer.
