How to find out who owns a company in Delaware

Why Delaware works this way

Delaware’s dominance in incorporations rests partly on its courts and partly on this: an LLC can be formed without any owner appearing on the public record. It’s deliberate, it’s legal, and it’s a large part of why so many entities are registered in a state with under a million residents.

So if you’re searching a Delaware entity and finding only an agent in Wilmington, nothing has gone wrong. You’ve found everything the state publishes.

What you can actually get

1. Entity status and formation date. The Division of Corporations entity search confirms the company exists, its type and its standing.
2. The registered agent. Useful for service of process. Not useful for reaching an owner.
3. Foreign registrations in other states. This is the good one. A Delaware company actually operating in California, Florida or Texas usually has to register there too — and those states often require names Delaware doesn’t. Search the entity name in the state where it really does business.
4. Litigation records. Court filings frequently name principals.
5. SEC filings, if the entity is connected to anything publicly traded.

Delaware LLCs do not file an annual report, although they owe annual tax. Corporations have separate annual-report and franchise-tax requirements. Do not assume an LLC tax payment produces a member or manager disclosure.

What this means if you’re prospecting

Delaware is a poor state to work despite enormous filing volume. Most of those entities are owned by people who live and trade somewhere else, and the record gives you a mail suite. If you’re building a territory, put your effort into states that name people — we compared them in which states publish LLC member names.

A registered agent receives legal documents for the company. Hiring a commercial agent does not establish that the company is a shell, lacks an operating address, or has no useful contacts. Check the principal or mailing address and named officials separately; an agent address alone does not locate the operating business.
