How to find out who owns a company in New York
New York routes legal mail through the Department of State itself, which is why so many filings appear to name nobody at all.
Short answer: Most New York LLC filings designate the Department of State as agent for service of process, so the public record shows a forwarding address rather than a person. Owners are usually found through the county DBA filing, the biennial statement, or the LLC’s own published notice.
Why the record looks empty
New York lets an LLC name the Secretary of State as its agent and give an address to forward mail to. That address is frequently the company’s lawyer or a filing service. There is no requirement to name members on the articles of organization, so many New York records genuinely contain no human being.
Where to look instead
- The Department of State entity search. Start at the corporation and business entity database for status, filing date, county of location and the service address.
- The county of location. New York LLCs must designate a county, which narrows things considerably in a state where Manhattan and Erie County are very different markets.
- Assumed name (DBA) filings. Filed at county level for many businesses, and these do name the people behind them.
- The LLC publication requirement. New York requires new LLCs to publish notice in two county newspapers. Those notices are public and sometimes name organizers.
- Professional licences. Contractors, brokers and health practitioners are named in state licence registries.
Corporations are easier than LLCs
If the entity is a corporation rather than an LLC, the biennial statement names the chief executive officer and the principal executive office address. That’s a materially better starting point than anything available for an LLC.
