How to find out who owns a company in New York

New York routes legal mail through the Department of State itself, which is why so many filings appear to name nobody at all.

Short answer: Search the Department of State entity record. New York LLC articles need not name members. An LLC or corporation files an assumed-name certificate with the Department of State; county DBA filings generally apply to sole proprietors and partnerships. LLC biennial statements update the service-of-process address and do not identify owners.

Why the record looks empty

New York LLCs must designate the Secretary of State as an agent for service of process and supply a forwarding address. They may also appoint a separate registered agent. Neither the forwarding address nor the optional agent identifies an owner by itself.

Where to look instead

  1. The Department of State entity search. Start at the corporation and business entity database for status, filing date, county of location and the service address.
  2. County of location. This is a legal filing field and does not establish the operating location. Verify a principal address for territory research.
  3. Assumed-name (DBA) filings. New York LLCs and corporations file with the Department of State. County filings generally concern sole proprietors and partnerships; an assumed-name record is not necessarily a complete ownership disclosure.
  4. The LLC publication requirement. New York requires new LLCs to publish notice in two county newspapers. Those notices are public and sometimes name organizers.
  5. Professional licences. Contractors, brokers and health practitioners are named in state licence registries.

Corporations are easier than LLCs

If the entity is a corporation rather than an LLC, the biennial statement names the chief executive officer and the principal executive office address. That’s a materially better starting point than anything available for an LLC.
